Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the HelmOS platform, software, mobile applications, and related services (collectively, the “Service”) provided by Udhold APS, CVR: 42341576, registered in Denmark (“we”, “us”, or “our”).

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you must not use the Service.

You must be at least 18 years of age and have the legal capacity to enter into contracts to use this Service. By using HelmOS you represent that you meet these requirements.

The Service is currently in a pre-release beta phase. Features, pricing, and functionality are subject to change at any time without notice. We make no guarantees regarding availability, performance, or fitness for a particular purpose during the beta period.

When you register on the waitlist or create an account, you agree to provide accurate and complete information. You are responsible for safeguarding your credentials and for all activity that occurs under your account.

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable regulation.
• Attempt to reverse-engineer, decompile, or disassemble any part of the Service.
• Transmit malware, spam, or any harmful code through the Service.
• Interfere with or disrupt the integrity or performance of the Service or its infrastructure.
• Misrepresent your identity or affiliation with any person or entity.

All content, software, design, trademarks, and materials made available through the Service are owned by or licensed to Udhold APS. Nothing in these Terms grants you any right, title, or interest in or to our intellectual property except the limited right to use the Service as permitted herein.

You retain ownership of any voyage data, logs, or content you upload to the Service. By uploading content, you grant Udhold APS a non-exclusive, worldwide, royalty-free licence to store, process, and display that content solely for the purpose of providing the Service.

Subscription fees and one-time charges are displayed on our Pricing page. All payments are processed securely via Stripe. Licences are issued automatically upon successful payment. Prices are in USD unless stated otherwise. We reserve the right to change pricing with reasonable notice before the general availability release.

Refund requests are handled on a case-by-case basis. Please contact us at support@helmos.dk.

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. HELMOS DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

The Service is a supplementary navigation aid only. It does not replace official nautical charts, certified navigation equipment, or professional seamanship judgement. The captain and/or vessel owner bears full responsibility for safe navigation at all times.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, UDHOLD APS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF DATA, REVENUE, PROFITS, GOODWILL, OR DAMAGE TO VESSELS OR PROPERTY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE.

OUR TOTAL AGGREGATE LIABILITY TO YOU SHALL NOT EXCEED THE GREATER OF (A) EUR 100 OR (B) THE AMOUNT YOU PAID TO US IN THE TWELVE MONTHS PRECEDING THE CLAIM.

These Terms are governed by the laws of the Kingdom of Denmark, without regard to conflict-of-law principles. Any disputes shall be subject to the exclusive jurisdiction of the Danish courts.

We may update these Terms from time to time. We will notify registered users by email or prominent notice on the platform. Continued use of the Service after changes take effect constitutes your acceptance of the revised Terms.
